Terms of Use

These Terms of Use govern access to and use of horakl and its related services.

1. Acceptance of Terms

By accessing or using horakl (the "Platform"), you agree to be bound by these Terms of Use (these "Terms") to the extent permitted by the law applicable to you. If you do not agree to these Terms, you must not access or use the Platform.

These Terms form the agreement between you and horakl. Where a separate Privacy Policy or Risk Disclosure is made available, it forms part of your relationship with horakl and should be read together with these Terms.

2. Definitions

The following terms have the meanings set out below. Product labels describe roles within horakl and do not by themselves confer any regulatory or professional status.

  • "horakl" or the "Platform" means the research network and related services described in these Terms.
  • "User" means any person who accesses or uses horakl.
  • "Creator" or "Manager" means a User who creates Model Portfolios and/or publishes Research.
  • "Research Access User" means a User who accesses public or paid Research.
  • "Model Portfolio" means a model allocation of holdings tracked by horakl according to its methodology, and not invested capital.
  • "Research" means the rationale, thesis or analysis a Creator publishes alongside a Model Portfolio.
  • "Paid Access" means the paid unlocking of a Model Portfolio’s full composition and Research for a defined window.
  • "Wallet" means the self-custodial software a User connects to interact with on-chain features.
  • "Digital Assets" or "Cryptoassets" means digital assets transacted on supported blockchain networks.

3. Eligibility

You may use horakl only if you have the legal capacity required to enter into these Terms under the laws applicable to you, and only where your access and use are lawful.

You are responsible for ensuring that your access to and use of horakl complies with all laws and regulations applicable to you in your jurisdiction, including any restrictions on digital assets, research, financial activity or cross-border services.

Access to some features, assets, Research, networks or payment functionality may be restricted where required by applicable law. horakl may apply such restrictions where necessary or appropriate.

4. Global Availability and Local Law

horakl is intended for a global audience. Laws and regulations differ across jurisdictions, and the availability of features, assets, Research and payment functionality may vary accordingly.

You may have mandatory rights under the local law applicable to you. Nothing in these Terms is intended to exclude or limit any right, or any liability, to the extent such exclusion or limitation is prohibited by applicable law.

horakl may apply geographic or feature restrictions where required by applicable law, and may introduce supplemental terms for particular jurisdictions where necessary.

5. What horakl Is

horakl is a research network and marketplace centered on verifiable financial reputation. Users can create and evaluate Model Portfolios, publish or access Research, and analyze tracked portfolio history using performance and risk metrics generated according to horakl’s methodology.

The Platform provides tools for discovery, evaluation, tracked performance, a Score and Ranking, and eligible paid access to Research. horakl does not take custody of User capital and does not execute the underlying allocation of a Model Portfolio in the market.

6. What a Model Portfolio Means

A Model Portfolio is a model allocation. Its displayed or notional value does not mean that horakl received, holds, invested or manages that amount, or purchased the underlying assets for any User.

  • A Model Portfolio is not an invested account and not custody of capital.
  • Notional value is not deposited or invested capital.
  • Portfolio history represents modeled, tracked results under horakl’s methodology.
  • Actual investment results may differ from the model.
  • horakl does not represent that displayed model-portfolio trades were actually executed in any user’s brokerage or exchange account.

7. Financial Decisions

You remain responsible for the financial decisions you independently make. Copying or relying on a Model Portfolio can produce materially different real-world results, and historical performance does not guarantee future performance.

The legal characterization of Research or related activities may differ depending on your jurisdiction, your status, the asset and the activity. These Terms do not make a categorical statement about whether horakl is or is not an adviser, broker, exchange, regulated entity or provider of investment advice; that characterization depends on applicable law and the specific circumstances.

8. User Accounts and Wallets

Certain features require connecting a self-custodial Wallet. You control your Wallet and are responsible for its security, including your private keys and seed phrase.

You should never provide your private keys or seed phrase to horakl. horakl will never ask you to disclose them, and horakl cannot recover them.

You authorize transactions through your Wallet software. Wallet applications are third-party services whose terms and practices apply. Loss or compromise of your Wallet may result in loss of access to features, assets or entitlements, and horakl is not responsible for such loss except to the extent required by applicable law.

9. Model Portfolios

A Creator can create a Model Portfolio by defining holdings and allocation weights. The current implementation requires holdings to represent a complete allocation (weights total 100%) and does not allow an empty portfolio.

horakl records portfolio history, including rebalances and composition changes, so past performance and composition remain auditable. A Creator can inactivate a Model Portfolio to hide it from new Users and stop new payments; inactivation is not deletion and history is preserved.

Data may be corrected or reprocessed where necessary to maintain accuracy. Additional lifecycle rules may apply according to the current implementation.

10. Research and User Content

Research and other content published by Users is user-generated content. Creators are responsible for their Research, including its accuracy, legality, originality and compliance with applicable law.

You must not publish unlawful, misleading, fraudulent or infringing content, or content that violates third-party rights. horakl may act against content that violates these Terms or applicable law.

Creators retain ownership of their original Research and content. By publishing content through horakl, a Creator grants horakl the rights reasonably necessary to host, display, reproduce, distribute and provide access to that content as part of operating the service. These Terms do not transfer ownership of a Creator’s Research to horakl, and the license is limited to what is reasonably necessary to operate the service.

11. Creator / Manager Responsibilities

Creators are responsible for:

  • the accuracy and lawfulness of their Research and statements;
  • any disclosures required of them under applicable law;
  • managing conflicts of interest where required;
  • any professional or regulatory requirements applicable to their activities;
  • respecting third-party intellectual property rights in their content;
  • making only truthful, supportable performance claims; and
  • not manipulating the Score, Ranking or platform systems.

Product labels such as "Manager" or "Creator" describe roles within horakl and do not by themselves establish a professional license or regulatory status.

12. Performance Data and Methodology

horakl may calculate and display metrics such as NAV, ROI, Sharpe Ratio, Volatility, Max Drawdown, Consistency and Discipline, and may compare performance against Bitcoin where implemented. These metrics are produced according to horakl’s methodology. Detailed formulas belong in the Documentation.

Analytics depend on data and methodology. Errors, delays and corrections can occur, and the methodology may evolve. Historical results do not guarantee future results, and actual investor outcomes may differ materially from model results due to slippage, fees, liquidity, taxes and timing.

13. horakl Score

The horakl Score is a platform-generated metric based on the methodology and available tracked data. It is not a guarantee of future performance, a probability of profit, a credit rating, a regulated investment rating, a guarantee that Research is accurate, or proof that a portfolio is suitable for any particular person.

A high Score can later decline, and a low Score does not necessarily mean a portfolio will underperform. Score methodology is described in the Documentation where available.

14. Ranking

Ranking is relative and methodology-dependent, and rankings are subject to change. A higher ranking does not guarantee future performance and should not be interpreted in isolation.

16. Portfolio Creation Fee

Publishing a Model Portfolio requires a one-time creation fee of 1.00 USDT, paid on the selected network. The Creator pays the applicable network gas for this transaction.

The creation fee is a separate payment flow from purchasing Paid Access and is not subject to the creator-access split. horakl does not expose internal treasury architecture through these Terms.

18. Withdrawals / Payouts

Where withdrawal functionality is available, a Creator may request withdrawal of accumulated earnings. You are responsible for the correctness of any destination Wallet address. Blockchain confirmations and applicable network constraints apply, and incorrect addresses or networks can lead to irreversible loss.

horakl does not promise any specific payout timing. Applicable network fees and conditions may apply. horakl does not expose internal treasury or payout architecture through these Terms.

19. Supported Networks and Payment Assets

The current supported networks are Ethereum, Arbitrum, BNB Smart Chain, Base and Polygon PoS. Payments use USDT on the selected network. Solana is not supported.

Supported networks and payment assets may change over time subject to product and legal requirements. Gas is paid in the native token of the selected network.

20. Blockchain Transactions

On-chain actions require your Wallet authorization. You are responsible for network fees, for selecting the correct network and address, and for confirming transactions before approval.

Blockchain transactions can be slow or congested, can fail, and confirmed transactions may be difficult or impossible to reverse. Wrong addresses or networks can lead to loss, and horakl may not be able to recover incorrectly sent assets.

21. Third-Party Services

horakl relies on third-party services, including Wallets, blockchain networks, market-data sources and other external services used to operate or access the Platform. Their availability, terms and performance are outside horakl’s full control.

horakl is not responsible for the acts or omissions of third-party services except to the extent required by applicable law.

22. Fees

Fees that may apply include: horakl platform fees; the Creator share and platform share of Paid Access where relevant; blockchain and network gas; and third-party fees where applicable.

Network gas is charged by the relevant blockchain, not by horakl. Fee structures may change with reasonable disclosure and subject to applicable law.

23. Refunds, Cancellations and Payment Errors

horakl does not adopt a universal "no refunds" rule. Refunds, cancellations or corrective actions, where available, depend on the type of transaction, the technical circumstances, applicable platform rules and any mandatory rights that apply under applicable law.

Blockchain transactions may be irreversible, and technical payment recovery does not necessarily imply cancellation of an on-chain transaction. Duplicated, failed or incorrect transactions may require case-by-case review. horakl does not promise refunds that the product does not support.

24. Taxes

Users and Creators are responsible for understanding and complying with tax obligations that apply to their own activities, transactions and earnings. horakl may collect, report, withhold or remit taxes where required by applicable law.

horakl does not provide individual tax advice.

26. Sanctions and Restricted Use

You may not use horakl in violation of any sanctions, export controls or other legal restrictions applicable to you or to the service. horakl may restrict access or transactions where required by applicable law.

You are responsible for complying with the restrictions applicable to you.

27. Prohibited Conduct

You must not:

  • commit fraud or impersonate others;
  • publish misleading Research or false performance claims;
  • manipulate the Score, Ranking or platform systems;
  • gain unauthorized access or introduce malicious code;
  • attack the Platform or engage in unlawful activity;
  • evade payment or access controls;
  • infringe intellectual property rights; or
  • engage in market manipulation or other unlawful financial conduct.

28. Intellectual Property

A. horakl’s software, brand, design, platform systems and other proprietary elements are owned by horakl or its licensors, subject to applicable law.

B. Original Research, theses and other User-created content remain owned by their Creator. Publishing content through horakl does not transfer ownership of that content to horakl except for the limited license described in Section 10.

29. Content Moderation

horakl may remove or restrict content or accounts when reasonably necessary for Terms violations, fraud, security, unlawful activity, intellectual property infringement, legal or regulatory requirements, or platform abuse. horakl does not reserve arbitrary unlimited rights beyond what is permitted by applicable law.

30. Suspension and Termination

horakl may restrict or terminate access for violations of these Terms, security risks, fraud, unlawful activity, legal or regulatory requirements, or platform abuse, subject to applicable law.

Suspension of a horakl account is distinct from inactivation of a Creator’s Model Portfolio, which is performed under the product rules described in Section 9.

31. Service Availability

horakl does not guarantee uninterrupted availability. Maintenance, outages, third-party failures and other interruptions can occur, and features can change.

32. Product and Methodology Changes

Features, networks, supported assets, calculations and methodologies may evolve over time. Material changes should be communicated through reasonable means.

horakl does not claim an unlimited right to retroactively rewrite completed economic arrangements.

33. Privacy

Where a separate Privacy Policy is made available, it forms part of your relationship with horakl. These Terms do not duplicate privacy terms here.

34. Disclaimers

To the extent permitted by applicable law: platform data and Research may contain errors or delays; cryptoassets can be volatile; model results differ from real-world investor outcomes; fees, slippage, taxes, liquidity and timing can affect outcomes; past performance does not guarantee future performance; and Users remain responsible for their independent decisions.

No disclaimer in these Terms is used to make an unsupported regulatory conclusion.

35. Limitation of Liability

To the maximum extent permitted by applicable law, horakl is not liable for indirect, incidental, special, consequential or similar losses arising from use of the service, including losses associated with independent investment decisions, market movements, third-party services, Wallets or blockchain networks.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

36. Indemnification

You may be responsible for losses or claims arising from your unlawful use, intentional misconduct, infringement of third-party rights, or material violation of these Terms. This indemnification is narrow and reasonable and does not create an unlimited consumer indemnity, and it is subject to applicable law and enforceability.

37. Consumer Rights

You may have mandatory rights under consumer-protection or other applicable laws. Nothing in these Terms is intended to waive any right that cannot lawfully be waived.

38. Electronic Communications

Where permitted by applicable law, horakl may provide service-related notices and communications electronically.

39. Changes to Terms

These Terms may be updated over time. Material changes should be communicated through reasonable means, and continued use of horakl may constitute acceptance of updated Terms where permitted by applicable law.

40. Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in effect to the extent permitted by applicable law.

41. No Waiver

Failure to enforce a provision does not automatically waive future enforcement of that or any other provision, subject to applicable law.

42. Assignment

You may not transfer your contractual rights in a way that interferes with platform security or applicable law. horakl may transfer its rights or obligations as part of a legitimate corporate transaction or service reorganization, subject to applicable law and the protection of mandatory User rights.

43. Governing Law and Disputes

These Terms and any disputes arising from them are subject to the laws and dispute-resolution rules applicable to the contractual relationship, while preserving mandatory rights and protections that apply under the laws of your jurisdiction.

Where required, horakl may provide supplemental jurisdiction-specific terms identifying governing law, venue or dispute procedures. Any such supplemental terms govern to the extent specified or legally required.

44. Regional Terms

Supplemental terms may apply to Users in particular jurisdictions where required by applicable law. Where supplemental terms conflict with these Terms, the supplemental terms govern only to the extent specified or legally required. No regional supplements are created in this document.
